Limited Partnerships and Asset Protection in the Cayman Islands Print E-mail
Asset protection in limited partnerships in the Cayman Islands is not under as strict a jurisdiction as it is elsewhere, such as Delaware.  Under the regulations of its limited partnership, a partner may be inappropriately stamped with sky-high penalties for failure to perform as a partner.  Other more grave and negative consequences could also be imposed.  On the other hand, the island’s laws regarding limited partnership’s penalties on its partners, the penalty is only equal to the damages caused by the partner’s negligence.  This enforces the island’s laws on equity.

The Cayman Islands has a government that imposes laws more advantageous to clients especially during unplanned incidents that could adversely affect investments, trusts and partnerships.  In addition to its clause on penalty rate, there are no indemnification clauses to speak of.  Whereas Delaware can impose indemnification clauses pretty much to its own liking, the island has no such clauses.  But naturally, there are pros and cons to this kind of regulation when it comes to asset protection.  The positive side limits the liability of partners in a limited partnership, especially when serious damage was incurred due to the negligence of one partner.  The responsibility of the other partners are not as great as the erring partner; it could also altogether be shouldered by the erring partner, sparing the company and other partners from accountability, other than what is stated by the law.  The negative effect is that the absence of indemnification clauses leaves a margin for error that could be easily ignored by both the partners and the partnership company.  The policies on the partnership are easily negligible to the partners also because of this.

To avoid complications that could possibly arise, the key is to always take into consideration the upside and downside of any agreement and/or laws.  Putting your assets under a foreign jurisdiction could be a wise decision on your part, but it could also be disastrous if you do not weigh in all aspects.
