Panama Privacy vs Safety 

Panama companies can be formed in 3 ways to protect your privacy.  Each option provides a different level of privacy.  The difficulty is that the most private option is also the most dangerous option.

 

Anonymous Bearer Share Corporation

This is the most popular registration method for those looking to keep their identity private while conducting their business affairs.  The bearer share corporation is owned by whoever is the "bearer" of the shares.  This means that whoever is physically in possession of the share certificates is the owner of the corporation.  This is dangerous because the corporation can be easily stolen.  If someone was to steal the share certificates, they would legally own the corporation. This is possible because the shares are not written in the name of anyone. 


Registered Share Corporation

The other option is to register the ownership of the shares of the company in the Panama Public Registry.  The problem, of course is that the ownership of the corporation becomes available for all to see, destroying your privacy.

 

Anonymous Named Share Corporation

The bearer shares we issue for our customers can function as bearer shares or named shares.  There is a place on the share certificate where you can write your name in.  This prevents anyone else from claiming ownership of your company.  At the same time, no one need know you have written your name on the shares.  If you change your mind at a later date, we can re-issue the shares for you without your name written on them.  If you do not choose to write your name on the share certificates, the shares are simply bearer shares.

 

Offshore Foundation owning an Offshore Company 

A further possibility, is a foundation owning a corporation.  This option is powerful, because the shares can be named, but not registered, in the name of a foundation.  Anyone researching the corporation would not be able to determine that the corporation is owned by the foundation.  This solution is optimal for asset protection, because the attacker would come after the corporation.  In this type of setup, usually the money is not kept in the corporation's bank account, but is swept regularly into the foundation's bank account.  Thus an attack on the corporation only serves as a notification that someone is pursuing the you.  The money can then be moved from the foundation bank account to a safe place, without worry about frozen bank accounts, etc.
