Becoming incorporated with only a single member is possible in the Cayman Islands except in the case of a Limited Duration Company, which has to have two members before they can form a corporation. The way in which to accomplish incorporation in the Cayman Islands is by first paying incorporation fees and then filing a Memorandum of Association with the Cayman Registrar of Companies.
The Memorandum of Association must contain the following.
*The name of the company *The address of the registered office for the company *The function and objectives of the company *The state share capital of the company *An explanation of the liability of shareholders and members of the company
Once the Memorandum of Association is accepted, the Registrar of Companies will give the company a Certificate of Incorporation.
